Section 1: RETAILERS
The dealer is required to justify its professional trader quality by providing an extract from the Commercial Register evidencing its registration statement with the categories of goods offered for sale by ROKNTOOLS (K bis in France, equivalent to other countries) as well as a bank account details.
Upon receipt of these documents ROKNTOOLS will provide the dealer an identifier code (Login) and password giving access to the site reserved for resellers as well as his personal account.
Obviously, general sales conditions outlined below apply only with trade relations established with retailers exercising their trade directly with final consumers.
Section 2: ACCEPTANCE OF TERMS
The fact that a customer confirms the order implies full acceptance of these general conditions of sale in their entirety.
This Agreement shall be governed by French law. The court's headquarters ROKNTOOLS are the only competent.
Section 3: ORDER
Orders can be done:

It is necessary for the dealer to identify themselves by entering the identifier code (Login) and his password so that the control system can apply the commercial terms defined between the reseller and ROKNTOOLS.

The information given by the purchaser when making an order is this: if an error is made in the wording details, ROKNTOOLS cannot be held responsible for failure in which he could not deliver the product.
All our offers are within the limits of available stocks without commitment, unless unavailable
Section 4: PRICES
Our prices are for warehouse leaving, at the rate in force on the site www.rokntools.com delivery day, shipping, packaging and insurance are extra.
Rates recorded in any other catalog will not be taken into account.
The price shown on the ROKNTOOLS invoice is the final price, including all taxes and VAT at the prevailing rate for France and the EC countries
All prices are quoted in Euros, amounts in other currencies are shown for information only.
All sales are final, the goods are not returned or exchanged.
Section 5: DISCOUNTS
The status of professional trader as defined in Article 1 allows the dealer to get a discount on the list price ROKNTOOLS
Discount function:
A 40 % basic discount is given to the dealer
Additional discounts then occur following quantity
Discounts reserved for resellers cannot be combined with any other discounts or promotions on the site, including sales and destocking.
Section 6: PAYMENT
The orders are subject to regulation in order.
By mutual agreement between the parties, ROKNTOOLS allows the retailer to set the 20th of the month following the invoice.
At the beginning of the month, ROKNTOOLS will send to the retailer send a statement of invoices to be paid by the 20th of month.
Any delay in payment results in a calculated penalty according to the legal interest rate applicable.
In case of non-respect of payment deadlines, ROKNTOOLS reserves the right to remove settlement times, suspend all deliveries to resume sales.
Form of payment
Paying bills can be made by credit card, check or bank transfer.

Checks are not accepted for payment of orders
Bank:
Payment can be made by wire transfer (fees are charged to the client).
Retention of title:
Products delivered remain the property of ROKNTOOLS until full payment of invoices.
However, the buyer becomes responsible upon physical delivery, ownership transfer involving the risk.
The buyer agrees, therefore, now to subscribe an insurance policy covering the risk of loss, theft or destruction of designated goods.
The buyer can have the goods delivered under retention of title in the ordinary course of its business.
Neither the buyer nor the trustee cannot pledge or transfer ownership of the goods without the consent of the seller.
In case of seizure, the buyer or the trustee shall immediately inform the seller.
In case of disagreement on how to return the goods, it may be obtained by injunction issued by the President of the Commercial Court of Vesoul which the parties expressly confers jurisdiction
Section 7: DELIVERY
Delivery is directly made to the dealer by tracked packages.
ROKNTOOLS consigns its deliveries to a carrier of its choice according to the weight and delivery destination.
ROKNTOOLS agrees to make every effort to deliver the ordered products in the shortest possible time.
The average time are specified on each product page and vary depending on the country of destination chosen by the customer.
ROKNTOOLS ships orders within 3 to 7 working days on average, from the order registration date.
However, in some cases (out of stock, reprint, ...) items ordered may experience variables delivery delays.
ROKNTOOLS agrees to keep inform the retailer of any additional period or any permanent unavailability.
Balance:
Temporarily unavailable items are kept in balance.
The balances will be attached to the next command.
Delivery times are given only as an indication, and without warranty.
Delivery delays do not give the buyer the right to cancel the sale or to refuse the goods.
They cannot result in holding, penalties compensation or damages.
Our goods always travel at the risk of the recipient, without warranty of missing or accident on the way.
The recipient must, in the event of damaged or missing, do the usual caveats with the carrier before to delivery and confirmed by registered letter to the carrier within 48 hours letter.
Any complaint regarding the quality of goods must be made by registered letter with acknowledgment of receipt within eight days following delivery letter.

Free shipping from 350 € tax excl, if only port charges 50 € tax excl.
For all other countries:

Section 8: LITIGATION
Any return postage due or without our permission will be refused - Goods supplied with your order will not be returned or exchanged.
Any claims or disputes will always be received with attentive benevolence, good faith is always presumed in those who took the trouble to explain his situation.
In case of dispute, the customer should first contact the company to find an amicable solution.
Otherwise, the commercial court of Vesoul has exclusive jurisdiction, regardless of the place of delivery and method of payment accepted.
